1.Definitions
The following terms have the following meanings:
(a) “Buyer” - the person, Company or organisation as designated on your account application form and/or headed notepaper.
(b) “Contract terms” - the terms and/or conditions set out below.
(c) “Goods” - the goods supplied by the Seller under this Contract.
(d) “Contract work” - any services provided by the Seller to the Buyer under this Contract.
2. Validity of other terms
This Contract will be on the Contract terms excluding all other terms and conditions save those implied automatically by statute.
3. Quotations
(a) The seller will not be liable for any loss or damage of any kind whatsoever consequential or otherwise pursuant to this Contract and all conditions, warranties and stipulations, express or implied, are excluded save those implied by Section 12 of the Sales of Goods Act 1893 (as amended) or pursuant to the Unfair Contract Terms Act 1977.
(b) The Seller and its servants agents or sub-contractors shall not be liable for any loss or damage of any kind whatsoever, other than personal injury or death whether consequential or otherwise caused directly or indirectly by negligence on the part of the Seller or any of its servants, agents or sub-contractors, arising out of or in connection with the manufacture or supply of the Goods or in connection with or arising out of the Contract work or any statement given or made on behalf of the Seller.
4. Delivery
(a) The Seller will endeavour to deliver the Goods within the time agreed or within a reasonable time if no delivery date is specified, but will not be liable for loss or damage caused by delay in the delivery of the Goods, nor will any such delay entitle the Buyer to cancel or rescind this Contract.
(b) The seller may make delivery by installments.
(c) No claim for damage to the Goods or shortages will be considered unless the Seller is notified immediately by email within ten days of delivery, and any claim by the Buyer will be deemed to have been waived..
(d) The seller reserves the right to charge carriage on specified deliveries.
5.Order confirmation
Our order acknowledgement is not a contract and does not constitute an acceptance of your order, but only a record of your offer to purchase a particular item at a particular price. After you place an order, Chairs Direct Ltd will determine whether or not to fulfill the order, and Chairs Direct Ltd may refuse or limit your order for any reason. By placing your order, you agree to accept all terms and conditions set forth anywhere on this site, including Chairs Direct Ltd terms and conditions of sale.
Chairs Direct Ltd reserves the right to accept, refuse, or limit your order for any reason, including, but not limited to, credit review, the unavailability of a product or errors in the prices and product descriptions posted on this web site. By placing your order, you agree that Chairs Direct Ltd total liability, under any legal theory or claim, shall be limited to the purchase price actually paid to Chairs Direct Ltd for the product giving rise to Chairs Direct Ltd liability.
6. Property and the Goods and Risk
The risk will pass on delivery of the Goods to the Buyer.
7. Price
The price of the Goods will be the price ruling at the date of dispatch exclusive of VAT at the appropriate rate at such date.
8. Payment
By credit card using Chairs Direct Ltd secure lines.
9.Complaints
If you wish to return faulty goods please e-mail Customer Support, include full details of the problem and your invoice number. You will receive further instructions by e-mail. You must make your complaint as soon as possible from the delivery of the goods.
This does not affect your statutory rights as a consumer.
10. Trades Description Acts
Products offered for sale may differ from those described or illustrated on this web site due to later production changes in specifications, components or place of manufacture. The contents of this Web site are therefore not to be treated as representative as to the current availability of products as described, or as products actually for sale.
11. The proper law for this Contract will be English Law.
